What is the role of the Documentation Agent?
The Documentation Agent is responsible for managing the full contractual documentation of the financing on behalf of the lending syndicate.
It acts as the central point of contact for the borrower, the lenders, legal counsel and other advisors.
This role ensures smooth communication, proper execution of contractual obligations, and alignment between all parties.
At what stages does the Documentation Agent intervene?
The Documentation Agent is involved throughout the entire life cycle of the financing, from signing to amendment and beyond.
1. During the initial structuring phase
Coordination of all stakeholders (borrower, banks, legal advisors) to ensure proper progress and accuracy of the documentation.
- Verification that all documents are correctly executed (e.g., signatures from all parties).
- Distribution of final documentation to all syndicate members.
- Secure archiving of the executed documents.
2. During the life of the financing
- Collection of required borrower reporting (financial statements, covenant calculations) and dissemination to the syndicate.
- Coordination of the preparation and execution of amendments to the original credit agreement (waivers, restructurings…).
- Distribution and archiving of all amendments.
- Responding to any documentation-related questions from either the borrower or the lenders.
